These Terms and Conditions govern your access to and use of our website, as well as the design, engineering, and digital development services provided by KVMS Tech. By accessing our site or engaging our services, you agree to comply with and be bound by these Terms. If you disagree with any part of these terms, you must not use our website or services.
1. Scope of Services & Engagements
- Service Offerings: KVMS Tech provides digital design and software solutions, including Mobile App Engineering, Custom Website Development, UI/UX Design Systems, AI Workflow Integrations, and Digital Presence Optimization.
- Statements of Work (SOW): Specific deliverables, milestone schedules, technical specifications, and fees will be formally defined in a project proposal, Statement of Work (SOW), or written agreement executed prior to project initiation.
- Direct Delivery Model: Clients collaborate directly with technical leadership for scoping, sprint updates, and milestone reviews.
2. Client Responsibilities & Materials
- Asset Provision: You agree to provide all necessary digital assets, text, media, third-party API credentials, and required technical approvals in a timely manner to prevent delivery delays.
- Accuracy & Ownership: You warrant that all content, brand assets, and proprietary materials provided to KVMS Tech are owned by you or that you have obtained lawful rights and permissions to use them.
- Approval Cycles: Feedback, design approvals, and acceptance milestones must be communicated within agreed sprint review windows.
3. Payment Milestones, Invoicing, & Taxes
- Milestone Payments: Unless otherwise agreed in an SOW, projects are billed according to defined milestones (e.g., initial deposit before sprint initiation, stage approvals, and final balance due prior to production deployment).
- Invoicing & Payment Methods: Invoices may be processed via bank transfer, domestic UPI, or approved international payment gateways (e.g., Stripe, Wise).
- Taxes: All fees are exclusive of applicable local, state, or federal taxes, which will be applied where statutory regulations require.
- Late Payments: Failure to fulfill milestone payments when due may result in a temporary suspension of active development sprints or delay of scheduled releases.
4. Intellectual Property & Code Ownership
- Client Deliverables: Upon full and final settlement of all agreed invoice amounts, the client receives exclusive rights and ownership of the bespoke deliverables, custom codebase, and visual UI/UX designs created specifically for that project.
- Pre-Existing Components & Frameworks: KVMS Tech retains ownership of its internal design libraries, reusable utilities, starter boilerplate code, and proprietary workflows. Clients are granted a perpetual, non-exclusive, royalty-free license to use any embedded pre-existing tools as incorporated into the final deliverable.
- Portfolio Showcase: Unless explicitly restricted by an executed Non-Disclosure Agreement (NDA), KVMS Tech reserves the right to display project visuals, previews, and case summaries within our studio portfolio and marketing materials.
5. Deployment & 30-Day Included After-Care
- Production Deployment: Upon final milestone approval and payment clearance, we assist with market deployment, including web server setup, cloud configuration, or submission to the Apple App Store and Google Play Store.
- Complimentary 30-Day Support: Every standard production release includes 30 days of complimentary post-deployment warranty support. This coverage includes:
- Diagnosis and resolution of functional bugs or code errors within the agreed project scope.
- Platform stability and server configuration checks.
- Exclusions: The 30-day warranty does not cover third-party API outages, host server downtime beyond our control, unauthorized modifications made by third parties, or requests for new features outside the originally signed SOW.
6. Confidentiality & Non-Disclosure
- Mutual Protection: Both parties agree to protect and keep confidential all proprietary data, source code, technical roadmaps, business ideas, and credentials disclosed during the project lifecycle.
- AI Safeguard: Proprietary client data, codebase architectures, and private user records will not be submitted to public or open-source machine learning models for third-party training.
7. Limitation of Liability
- Warranty Disclaimer: To the maximum extent permitted by applicable law, our services and website are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
- Liability Cap: KVMS Tech shall not be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of business profits, data corruption, or operational interruption). Our total aggregate liability arising out of or related to any project engagement shall not exceed the total fees paid by the client to KVMS Tech under the applicable project contract.
8. Project Termination
- Termination for Convenience: Either party may terminate a project contract with written notice in accordance with the terms outlined in the specific SOW.
- Settlement upon Termination: In the event of early termination, the client is liable to pay for all work completed, hours logged, and milestones achieved up to the effective termination date. Unused advance deposits for incomplete milestones will be reconciled accordingly.
9. Governing Law & Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of India, with jurisdiction centered in the courts of SAS Nagar (Mohali) / Chandigarh, Punjab. In the event of any disagreement, both parties commit to attempting good-faith informal negotiations before initiating formal legal proceedings.
10. Amendments
KVMS Tech reserves the right to modify these Terms and Conditions at any time. Material updates will take effect immediately upon posting to this website, with an updated “Last Updated” timestamp. Continued engagement with our site or services constitutes acceptance of the amended terms.
